SPECIFIC TERMS AND CONDITIONS OF SALE

PRICES
Standard prices are for inventory items or “5-day” production-time orders.
Based on delivery of full loads.

CUSTOMER RESPONSIBILITIES
For project-specific production, provide detailed project plans for the preparation of shop drawings.
Approve shop drawings.
Place orders for stock inventory items at least 24 hours in advance of the requested delivery.
For standard production items, a 5-working day advance notice of delivery.
Unload all items weighing more than 10,000-pounds.
Unload all items consistent with its engineered and designed lifting points and systems.

SERVICE
Deliveries will not be made in adverse weather or site conditions.

EXTRA CHARGES
Deliveries outside of the established service area will include a delivery surcharge.
Partial loads and special delivery trips will include 20% delivery surcharge.
“Rush” orders will include per piece surcharge.
A restocking charge (plus freight if a special pickup trip is required) will be charged for any return items, except warranty returns.
Buyer will be charged for Buyer-damaged items.

GENERAL TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale, in combination with any written Proposal or Price Quotation offered, define the full and complete offering of sale of products and/or services by the Seller to the Buyer.

This offer expires 45 days from the date quoted and is subject to credit approval by the Company.

If the Buyer fails to accept and/or comply with any provision of the Price Quotation, Proposal and/or Terms and Conditions of Sale, or fails to make payment when due for products included in this Quotation or any other contract with Seller, Seller may at its option, without notice to Buyer, suspend or terminate further deliveries. Seller’s rights hereunder shall be in addition to any rights which it has or may acquire under any other agreement or applicable law. Failure of Seller to enforce any right or remedy shall not be construed as a waiver of such right or remedy.

Any “take-off” quantity included as a part of a Proposal or Price Quotation is provided solely as a convenience to the Buyer only for comparative purposes and general information, and is not warranted for accuracy or completeness.

Buyer will handle all products and materials consistent with its engineered systems, unique characteristics, qualities, features, and/or strengths.

Unless otherwise excluded, all product services delivered are warranted to meet the terms of the Proposal or Price Quotation and any specifications included therein by specific reference. Damages to the product or material as a result of action by the Buyer including improper storage, handling, unloading, installation, failure to protect, curing, or any alteration of the product void the warranty provisions. Seller agrees to replace a product proven to Seller’s satisfaction to have been defective in quality or manufacture at the time of delivery to the Buyer, provided that the product’s warranty was not otherwise voided by the Buyer and that the Seller shall not be required to replace any installed material or product if the Buyer had knowledge prior to installation of any product or material defect, that the Buyer provides the Seller with a written claim within 30 days after delivery to Buyer of the product claimed to have been defective. Seller will not be liable for costs of removal, disposal, reinstallation, indirect costs or any consequential damages, or claims for labor damages. Materials or products rejected by a project’s jurisdictional authority will be replaced only if the product or materials fail to meet the project’s specifications. This warranty is in lieu of all other warranties, expressed, implied or statutory including without limitation, warranties of merchantability and fitness for a particular purpose.

Standard deliveries will be made between 7:00 am and 6:00 pm, Monday to Friday. Buyer shall provide a safe, unrestricted and accessible work and delivery site, and shall unload all products unless otherwise provided for with a written agreement with the Seller. If the Buyer directs the Seller’s truck to enter a site the Company solely determines to be unsafe, restricted or inaccessible, the Buyer will assume full responsibility for any and all damages resulting from any subsequent breakdown, damage, or accident.

Seller will deliver ordered products to Buyer’s jobsite. Seller will not be liable for its inability to deliver any products as a result of any Act of God, natural disaster, organized labor work stoppage or slowdown, site inaccessibility or any other reason beyond the control of the Seller. Unless otherwise agreed to by the Seller in writing, Seller shall not assume any liability for any costs, damages or penalties for delivery delay, or failure to give notice of said delay.

Prices are FOB jobsite, but do not include any taxes. Price lists may be revised without notice, and are only valid for the Seller’s established service area. Project price quotations expire 45 days after the date quoted, and are not guaranteed for the duration of a particular project if project work is suspended or interrupted for more than 60 calendar days unless previously agreed to in writing by the Seller.

All sales are C.O.D. unless the Buyer has previously been accepted as a credit customer by the Seller, in which case the Buyer will meet and satisfy all conditions of the credit offer, with payment consistent with said policy.
